An Alliance Codex

I've worked on this for some time and now I don't have much care for it. I just thought I'd put this document out there and see what happens. Praise it, criticize it, use it, improve it. Do what you will. It was just a thought experiment I had a long time ago. This document is called "Codex of the United Constellation Republic"

Leadership in order of authority or succession

  • President
  • Presidential advisors approved by HOC
  • Vice President
  • Speaker of corporations (soc)
  • Secretary of foreign affairs (sfa)
  • Supreme Court members (7 members) [not part of the leadership succession]
  • Voted positions
  • military council (1 general per Corp)
  • Economic council (2 economists per Corp)
  • House of corporations (2 members per Corp) [not part of the leadership succession] (hoc)

Judicial system

  • Each cooperation will have three judges affiliated with the Corp to settle domestic Corp disputes.
  • The supreme court will consist of 7 judges and will settle inter-Corp disputes and interpret the laws passed by the HOC.
  • The president will enforce the laws set forth by the HOC through administrative means.
  • All Corp affecting and inter-Corp affecting trials will be made by a jury of 7 unaffiliated players. Lawsuits between players will only require a judge if the requested settlement is under 500 million isk.

Amendment process

    [Amendments must be proposed by a Corp, not an individual; though an individual can petition to request a change to the codex to their corp.
  • Must be ratified by ¾ of the HOC, then submitted to the president for final approval.
  • If vetoed by the president, the HOC may override the veto by ¾ vote.

Law making

  • A law must be proposed by a Corp and not an individual; though an individual can make a petition to request proposal or repeal of a law to their corp.
  • The law must be passed by 51% vote in the HOC and approved by the president. The president may veto a law but can be overridden by the HOC by ¾ vote.

Voting

  • On the first day of every third month, there will be an election for the position of president. The president will only serve three(3) terms before being required to retire from office. The previous Vice President will be the de facto president if no other presidential candidate presents him/herself. Should the vice president become the defacto president, s/he must step down from the office of the presidency when at least 2 voting candidates announce their presidential campaign.
  • The elections of CEOs in corps will be held on the first day of the second week every two months. CEOs may have two terms of office before being required to retire from office.
  • The elections for HOC positions will be held on the first day of the month, every four months. HOC positions have a two term limit.
  • The economic counsel will have elections the first day of the second week every two months. Economists may have three terms of office before being required to retire from office.
  • All of these elections will be voted by means of every member player of the United Constellation Republic. Members of the aforementioned positions will not be able to vote. One vote per citizen of the United Constellation Republic (UCR)
  • military general positions
  • Generals have their positions for life or until they voluntarily retire or impeached from their position by ⅔ vote by the HOC for atrocities that endangered or weakened the United Constellation Republic.
  • Generals may be elected into office by the military caste and the explorer’s cast of the United Constellation Republic.

Presidential powers

  • Commander in chief of the military
  • Able to sign peace treaties but not declare war without approval of the HOC.
  • May veto an amendment to the codex or proposed law by the HOC.

military counsel

  • The military council will advise the president on strategy and tactics in warfare, or during peacetime when the UCR is in process whether or not to declare war.
  • [The military council has the power to create branches of the military. But the number of branches cannot exceed 5 branches of the military.
  • Of these branches, delegated leaders of the branch act Independently, but must have approved operations with the president before proceeding. Cooperation between branches is encouraged, but not required.

House of Corporations

  • There can be no more than three representatives per corp.
  • The HOC has the power to create laws and amendments to the codex, but cannot ratify them without approval from the president.
  • The HOC has the power to declare war, but only the president can create peace treaties or sign proposed peace treaties from another nation.
  • The HOC has the power to impeach the president and the cabinet. But the required jury will be all the collective judges from Corporations, but not the supreme court.

Economic counsel

  • The Economic council will create budget plans for the use of taxes
  • The Economic council will act Independently.
  • The economic counsel will advise Corporations and individuals on matters of finance upon request from an individual or a corporation.
  • The economic council will oversee the assets of the UCR.

The Vice President

  • Will break voting ties in the HOC
  • Will act as representative of the UCR when the president is on other official matters, or absent.
  • Will replace the president in the event of his/her death.

Speaker of Corporations

  • Elected by the HOC
  • Replaces Vice president in the event of an assassination
  • SOC keep HOC sessions in order.

Would never work. The entire organization would be utterly crippled at first contact with a hostile entity.

In little more length (now that I am bored), having organized a couple of indie capsuleer organizations, your main issues here seem to me to be:

- Need for pre-hoc approval of president for military actions. Too slow in a pinch. Military leaders will most likely just do what needs to be done and seek approval post-hoc, and this will work as long as the military leaders are sensible. Might as well make it explicit.

- Independent economic council deciding where money goes. Just, no. Too slow, too many bureaucrats in way of actually getting things done. People who do stuff should decide how much money they need and then just get it or not by presidential approval.

- Too quickly changing presidents and CEOs. You'll run out of volunteers and end up with people who'll hold the position just because someone has to, which will exacerbate the problems above. You'll also need inane amounts of cat-herding to just make the elections happen.

- Alliance charter attempts to dictate how corporations run their business (select CEOs, name representatives to speak for the corporation to the alliance, settle disputes). Big no, established outfits with their own traditions will just go "lol no" and ignore the instructions, or never sign up at all.

- Last but not least, in reality, the only thing you can enforce in a capsuleer organization is "do what I say or I'll throw you out". You can make people sign up agreements on how things are done, but in the end what can be enforced is CEO's and alliance executors saying "my way or the highway". It is my experience that charters and systems that explicitly acknowledge this ("dictator with advisors" or "advisory council" type of setups, instead of pretending a democracy) will live the longest.

You can do away with the rest. This alone is a sufficient outline for the corporate governance of a capsuleer organization.
