[STRIX] Successful Takeover and Change of Ownership

Effective 1907 Hours, 11 August YC 114, full control of Strix Defence and Intelligence Corporation is now under the ownership of myself, Veikitamo Gesakaarin, following the leveraged buyout of the company and the successful purchase of a 100% stake during a limited IPO listing of common stock ownership at a set-rate offer. As full shareholder in the company I have elected myself as both Chairwoman and Chief Executive Officer of the company. Previous Chief Executive Officer Mjalnar Gessenier declined an offer to remain on the Board of Directors citing a wish to spend more time with his family incompatible with full time committments as an Executive Director and has tendered his resignation effective immediately as of 1907 Hours, 12 August YC 114. May good fortune smile on his future endeavours.

Capital for this purchase was raised via credit borrowed from Kuriala Venture Capital, a Sukuuvestaa Corporation subsidiary firm. Acquistion of stock in Strix Defence and Intelligence was made via a Mies registered shell corporation utilizing the services of six separate Federal securities firms as proxy brokers for the purchase upon its listing on local Solitude securities markets. The total interval between the listing of Strix Defence and Intelligence common stock and its purchase was no more than three nanoseconds as conducted by automated purchasing system. Upon transferral of shares to the Miesian shell corporation it was effectively dissolved and control of Strix Defence and Intelligence defaulted to my personal control.

As Chairwoman and Chief Executive Officer of Strix Defence and Intelligence I have elected to conduct the following:

I. Reincorporate Strix Defence and Intelligence under the auspices of the Caldari Business Tribunal and the Caldari State with headquarters in the Saisio Solar System in addition to the creation of a new charter and corporate bylaws congruent with such legal obligations as such entails for a privately run enterprise with primary operations in the Caldari State.

II. A period of voluntary administration shall be entered into in order to conduct:

a) An audit of total asset listing available including but not limited to:

i) Corporate stock ownership available to the company in any subsidiary or corporate division.

ii) Liquid capital available to the company.

iii) Intellectual property available to the company including those existing in any subsidiary or subsidiary division.

iv) Any other assets available to the company.

The purpose of which shall be to:

b) Conduct a restructuring of the company with the aims of reducing operational costs though:

i) Reducing personnel costs via forced redundancy program of current employees across all subsidiaries and divisions to be determined by the administration and auditing team.

ii) Vertical restrucuring of current management and subsidiary divisions to maximize operational efficiency.

iii) Sale of corporate assets to relevant third parties aimed at reducing credit risk exposure of the company.

III. Upon successful reincorporation in the State a case shall be put forward on a voluntary basis to the Caldari Business Tribunal to determine the facts of the case and any possible liability incurred by the company related to:

a) Actions against Ishukone Corporation, YC 112

b) Actions against Wiyrkomi Corporation, YC 114

With full compliance guaranteed to any decisions and determinations reached by a Tribunal Justice.

Upon successful conclusion of corporate restrucuring and administration in addition to the legal outcomes of CBT decisions in the aforementioned cases, Strix Defence and Intelligence shall seek to begin independent operations and expansion with further details to be provided at a later date expected to be sometime within 4th Quarter YC 114 and 1st Quarter YC 115.

Business is conflict and those who do not prepare their enterprises as a General would, will see all their efforts end in defeat. As was the case here, to the victor goes the spoils of war.

As they say, Social-Democratic ideology and business do not mix well. This purchase is testament to this well-known fact. There is nothing new in Caldari investors silencing unpleasant voices by doing small favors and handing out coin to weak minded individuals. We have seen this over the recent months ad nauseum.

It is a shame that this sale took place in such a short order. Federal Consensus Outreach might have been interested in buying the trade mark if there had been time for a proper competition to take place. As progressives, we would have ensured that the constitutional rights, pension plans and insurances of the employees would not have been discontinued, even if it is obvious that the company was in poor shape and many of them would have had to start looking for new opportunities.

From the philosophical standpoint, this affair talks volumes about the hypocrisy and moral integrity among the supporters of Social-Democracy. Gessenier was ready to surrender the futures of his employees in the hands of the enemy for small monetary gain. As combatants of Gallente Militia and sworn Blaqueists they will undoubtedly receive a warm treatment.

Is this the true face of the Social-Democrats? Is it just that this line of thought is found attractive by all the thugs and sleazebags of the Federation? Or could it be that just a mere ideology can corrupt people's moral backbone and rot them from inside?

As a security and intelligence contractor, STRIX was privy to classified information. FCO declines to have ever had any business with STRIX but we are concerned over the status of the confidentiality agreements between them and their clients, many of whom were Federal patriots. I hope Gessenier family will enjoy the profits, while they still have time.

FCO's standings towards STRIX under new management have been set to neutral.

Why, not surprise at all. Since he is not just politician, but GALLENTEAN politician. Gallentean politicians are well known for putting their hands into other people's business.

The proper solution would be cutting his hands off. That will stop him for some time at least.

I understand that with politics and not business being your primary occupation it can be forgiven if you speak with ignorance. If this was a voluntary takeover of the company with a mutual agreement reached between myself and former Chairman Gessenier I would not have had to require the patience and tenacity to acquire the corporation by other, more hostile, methods. Like every politician through history it appears in attempting to confuse the facts available at hand for political gain you have expressed an opinion based on willful ignorance and like every fool, embarrassed yourself in public.

As for whatever confidential security information the company may have with various Federal agencies they are the property of the company, and as majority stakeholder and chairwoman such information is by extension my own. Once reincorporated into the Caldari State however, I would consider whatever confidentiality clauses existed between Strix Defence and Intelligence and its clients in the Federation to be null and void.

Thank you for reaffirming all my assertions and shedding new light on the details of this affair. A competent, conscientious management, without venomous political agendas, would not have let this disgrace to take place. However, I cannot really point my blame on the new ownership, Gesakaarin in particular, because as a part of the State's hierarchy of terror, her role in this cluster is to be the rot that contaminates and consumes living tissues. While the cluster would be a better place without her, she is only acting according to her upbringing and nature. However, as a Gallentean, and security professional, Gessenier should have known better.

What someone may call an embarrassment, is an act of civil courage for the others. I am aware that by raising public awareness regarding these issues I put my name on the line. But where would we eventually be if no one cared about the state of the cluster? Consider the following by an anonymous author:

A Caldari corporation peacefully and gently achieves its goals, avoiding bloodshed and loss for all parties. It then proceeds to declare its intentions publicly, so that no parties shall be unaware of the new subsidiary's goals, alliegences could be recalibrated, and employees could find other work. The conclusion you make from this is that the Federation was weakened by the collaboration of greedy fools and predacious, evil Caldari. You impugn that all Caldari simply can't help but be evil, callous, and cruel, and then conclude with a disgorgement of propagandistic rhetoric expelled from some rhythmless poet.

Valoron-jaiji, I would like to gently suggest that we are not the only ones subjected to the control of societal forces. If you wish to find reason, you must first kill the part of yourself that opposes it. Identifying which parts of you are the impediment is your challenge. Happy hunting.

You know what, about speaking up and courage. I tell you, I kill gallenteans.

I despise gallentean style of life, egalitarianism and democracy, I am fighting against it, I am fighting to protect the rest of the world from these gallentean blights, and while I am alive and can continue my fight, I make sure I will deal as much damage as possible. In the first, my personal thanks to Fauconnier-haani and Hara Kobaro Dourdan for their legal expertise on Federal corporate law and their services in providing the shell corporation from which I launched this takeover bid. Without their assistance so much would not have been possible.

As to the second in response to Mr. Valoron:

This is not the Senate floor in Villore so forgive my confusion as to your seeming unerring predilection to continue in engaging in petty partisan politicking and propagandizing in a communication that has nothing to do with convoluted histrionics but rather is simply business. I feel no need to humour your trite foolishness further.

As for any failings on the part of former Chairman Gessenier, there were none that I could detect. He was a strong and noble foe that I defeated not due to any serious fault or negligence on his part but rather, as a daughter of Sukuuvestaa and the State, I was simply better than he was. There is no shame or dishonour in losing to a more superior and better equipped opponent, who in seeing an opening present itself in the defence exploits it fully for maximum effect.
